Please read the following terms and conditions carefully. By accessing or using AXIALUP services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please discontinue use of our platform immediately.

1. Introduction & Definitions

AXIALUP (operated by AXIALUP (OPC) PRIVATE LIMITED, CIN: U72200BR2022OPC060903) is an internet and mobile application-based platform providing LPG booking, bill payment (BBPS), and related utility services.

In these Terms, references to:

  • "User", "You", "Your" - End users accessing the website, mobile app, and services
  • "We", "Us", "Our", "Company" - AXIALUP (OPC) PRIVATE LIMITED and its affiliates
  • "Platform" - AXIALUP website (axialup.in) and mobile applications
  • "Services" - LPG booking, BBPS bill payments, recharge services, and all related offerings
  • "Service Providers" - Independent third-party providers including LPG distributors, BBPS operators, and utility companies

2. Services Offered

AXIALUP provides the following services through its Platform:

  • LPG Cylinder Booking: Facilitating bookings for HPCL, Indane (IOCL), and Bharat Gas (BPCL) distributors
  • BBPS Bill Payments: Electricity, gas, water, telephone, DTH, and other utility bill payments
  • Mobile & DTH Recharge: Prepaid mobile and DTH recharge services
  • Payment Processing: Secure payment gateway integration for all transactions
  • Agency Management: B2B panel for LPG agencies and distributors
Important: AXIALUP acts as a technology platform and payment facilitator. We do not manufacture, own, or control any LPG cylinders, utility services, or products offered through third-party service providers. All transactions are subject to the terms and conditions of the respective service providers.

Upon successful payment, AXIALUP updates the relevant billing systems of service providers to record your transaction. We reserve the right to modify, suspend, or discontinue any service without prior notice at our sole discretion.

3. User Registration & Account

To use AXIALUP services, you must:

  • Be at least 18 years of age or have parental/guardian consent
  • Provide accurate, complete, and current registration information
  • Maintain the security of your account credentials (username, password, OTP)
  • Accept full responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

We reserve the right to refuse registration, suspend, or terminate user accounts without assigning any reason, including but not limited to cases involving:

  • Violation of these Terms & Conditions
  • Fraudulent activity or suspicious transactions
  • Misuse of platform features or services
  • Providing false or misleading information

4. User Conduct & Prohibited Activities

You agree and undertake NOT to:

  • Use the Platform for any unlawful purpose or in violation of applicable laws
  • Upload, transmit, or distribute malicious software, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems, servers, or databases
  • Reverse engineer, decompile, or modify any part of the Platform
  • Engage in price manipulation, bulk booking fraud, or transaction abuse
  • Impersonate any person or entity, or falsely represent affiliation
  • Use automated systems (bots, scrapers) to access the Platform without authorization
  • Defame, harass, or violate the rights of other users or third parties
  • Publish obscene, offensive, or inappropriate content
  • Interfere with the proper functioning of the Platform or services
Zero Tolerance: We maintain a zero-tolerance policy for fraudulent activities, abuse, or misuse. Violators will face immediate account termination and may be reported to law enforcement authorities.

5. Payment Terms & Pricing

Payment Methods: We accept UPI, debit/credit cards, net banking, wallets, and other payment instruments as displayed on the Platform.

Pricing: All prices are displayed in Indian Rupees (INR) and include applicable taxes unless stated otherwise. Prices are subject to change without prior notice. LPG cylinder rates are determined by Government of India notifications and OMC (Oil Marketing Company) policies.

Transaction Charges: Certain services may attract convenience fees or processing charges, which will be clearly displayed before payment confirmation.

Payment Confirmation: You are responsible for:

  • Verifying all details (LPG ID, mobile number, bill account number) before payment
  • Ensuring sufficient balance or credit limit in your payment instrument
  • Reviewing transaction confirmations and receipts

Failed Transactions: In case of payment failures due to technical issues, bank/gateway errors, or insufficient funds, amounts will be refunded as per our Refund & Cancellation Policy within 5-7 working days.

6. Booking & Delivery Terms (LPG)

LPG Booking Process:

  • Bookings are placed with authorized LPG distributors (HPCL/Indane/Bharat Gas)
  • Delivery timelines are subject to distributor policies and availability (typically 2-7 days)
  • AXIALUP is not responsible for delivery delays caused by distributors, weather, or force majeure events
  • Consumer must provide accurate delivery address and LPG Consumer ID

Delivery Verification: Users must verify cylinder seal, weight, and condition at the time of delivery. Report any issues immediately to the distributor and AXIALUP support.

Refill Policies: Subsidized vs. non-subsidized cylinder pricing, PAHAL/DBT eligibility, and refill frequency are governed by Government of India and OMC regulations.

7. Intellectual Property Rights

All content, design, logos, trademarks, source code, databases, graphics, and materials on the AXIALUP Platform are owned by or licensed to AXIALUP (OPC) PRIVATE LIMITED.

You may NOT:

  • Copy, reproduce, distribute, or modify any Platform content without authorization
  • Use our trademarks, logos, or branding in any manner
  • Create derivative works or reverse-engineer our technology
  • Frame, mirror, or scrape Platform content

User Content: You retain ownership of any content you upload (profile information, transaction data). By using the Platform, you grant us a non-exclusive license to use such content for service delivery, analytics, and improvement purposes.

8. Privacy & Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, store, and protect your personal information.

By using AXIALUP, you consent to:

  • Collection of personal data (name, mobile, email, address, payment details)
  • Collection of device data (Device ID, IP address, location, browser type)
  • Use of cookies and tracking technologies for analytics and improvement
  • Sharing data with service providers (LPG distributors, BBPS operators, payment gateways) as necessary for service delivery
Data Security: We implement industry-standard security measures including SSL encryption, firewall protection, and secure authentication. However, no system is 100% secure. Users must safeguard their login credentials and report suspicious activity immediately.

9. Third-Party Links & Services

The Platform may contain links to third-party websites, applications, or services (payment gateways, distributor portals, utility company sites).

AXIALUP is NOT responsible for:

  • Content, accuracy, or availability of third-party sites
  • Privacy practices of external services
  • Any loss or damage from third-party interactions

Links are provided for convenience only. We do not endorse or guarantee third-party offerings. Use at your own risk.

10. Disclaimer of Warranties

AXIALUP services are provided "AS IS" and "AS AVAILABLE" without any warranties, express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Uninterrupted, error-free, or virus-free service
  • Accuracy, completeness, or reliability of information
  • Availability of LPG cylinders, delivery timelines, or service provider performance

Technical Issues: We do not warrant that the Platform will be free from bugs, server downtime, network failures, or compatibility issues. We reserve the right to suspend services for maintenance, upgrades, or emergency repairs.

Service Provider Dependencies: AXIALUP acts as an intermediary. We are not liable for actions, omissions, delays, or failures by LPG distributors, BBPS operators, utility companies, or payment gateways.

11. Limitation of Liability

To the maximum extent permitted by law, AXIALUP (OPC) PRIVATE LIMITED, its directors, employees, and affiliates shall NOT be liable for:

  • Direct Damages: Loss of money, data, profits, or business opportunities
  • Indirect Damages: Consequential, incidental, punitive, or special damages
  • Service Failures: Delivery delays, booking cancellations, payment gateway errors
  • Unauthorized Access: Account hacking, data breaches beyond our control
  • Third-Party Actions: Distributor misconduct, service provider failures, force majeure events
Maximum Liability: In no event shall our total liability exceed the transaction amount or ₹1,000 (whichever is lower) for any single incident.

Some jurisdictions do not allow limitation of liability, so the above may not apply in full. You acknowledge that you use AXIALUP services at your own risk.

12. Indemnification

You agree to indemnify, defend, and hold harmless AXIALUP (OPC) PRIVATE LIMITED, its directors, officers, employees, agents, and affiliates from and against any:

  • Claims, lawsuits, or legal proceedings arising from your use of the Platform
  • Breach of these Terms & Conditions or applicable laws
  • Violation of third-party rights (intellectual property, privacy, etc.)
  • Fraudulent activities, misrepresentation, or misuse of services
  • Losses, damages, liabilities, costs, and expenses (including legal fees)

This indemnification obligation survives termination of your account and these Terms.

13. Modification of Terms

AXIALUP reserves the right to modify, update, or replace these Terms & Conditions at any time without prior notice. Changes will be effective immediately upon posting on the Platform.

Your Responsibility: It is your responsibility to review these Terms periodically. Continued use of the Platform after modifications constitutes acceptance of the updated Terms.

Material changes will be notified via email, SMS, or in-app notification where feasible.

14. Termination

By User: You may terminate your account at any time by contacting support@axialup.in. Termination does not relieve you of obligations for completed transactions.

By AXIALUP: We may suspend or terminate your account immediately without notice if:

  • You violate these Terms & Conditions
  • We detect fraudulent or suspicious activity
  • You engage in abusive conduct or misuse of services
  • Required by law or regulatory authority

Upon termination, all licenses and rights granted to you will immediately cease. Clauses related to intellectual property, indemnification, limitation of liability, and dispute resolution survive termination.

15. Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of India.

Jurisdiction: Any disputes arising from these Terms or use of AXIALUP services shall be subject to the exclusive jurisdiction of the courts in Sitamarhi, Bihar, India.

Dispute Resolution: Before initiating legal proceedings, parties agree to attempt resolution through:

  • Step 1: Direct negotiation and good-faith discussions
  • Step 2: Escalation through our Grievance Redressal mechanism
  • Step 3: Mediation or arbitration as mutually agreed

For consumer disputes, users may also approach relevant consumer forums under the Consumer Protection Act, 2019.

16. Force Majeure

AXIALUP shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

  • Natural disasters (earthquakes, floods, cyclones, pandemics)
  • Government actions, regulations, or restrictions
  • War, terrorism, civil unrest, or strikes
  • Internet/network failures, power outages, or telecommunication breakdowns
  • Acts of God or other unforeseen events

During such events, our obligations under these Terms will be suspended for the duration of the force majeure circumstance.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable.

The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

18. Entire Agreement

These Terms & Conditions, together with our Privacy Policy, Refund & Cancellation Policy, and Grievance Redressal Policy, constitute the entire agreement between you and AXIALUP (OPC) PRIVATE LIMITED.

These Terms supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.
